Keyvan Salehi

PRESIDENT & CEO, DIRECTOR

Mr. Salehi has over 20 years of industry experience having held various senior roles in operations, projects, and corporate development. Prior to joining Nighthawk, Mr. Salehi served as the Vice President of Corporate Development and Technical Services with Mountain Province Diamonds, where he was responsible for providing operational and technical oversight for the Mountain Province’s jointly owned 12,000 tonnes per day diamond mine in the Northwest Territories (introducing mine optimization initiatives to increase production and reduce costs). Mr. Salehi previously served as VP of Corporate Development and Technical Services for Kirkland Lake Gold (2016-2017), where he led the Company’s due diligence team behind the $2.4B merger with Newmarket Gold. He held the same position at St. Andrew Goldfields (2013-2016), where he spearheaded the Company’s sale process culminating in the sale to Kirkland Lake Gold in 2016. Prior to those roles, he held various operating positions with Lake Shore Gold, FNX Mining, and Vale (2002 – 2013). Mr. Salehi holds a Bachelor of Applied Sciences, Mineral Engineering from the University of Toronto and an Executive MBA from the Kellogg-Schulich School of Management.

Michael G. Leskovec

CHIEF FINANCIAL OFFICER

Mr. Leskovec is a Chartered Professional Accountant with over twenty years of financial experience with publicly listed companies and capital markets. He also serves as the Chief Financial Officer of Northfield Capital Corporation, where he works with publicly listed companies assisting with corporate structuring, mergers and acquisitions, investment analysis, financings and go public transactions in Canada. Prior to this, Mr. Leskovec served as an officer of Gold Eagle Mines Ltd., which was involved in the development of the Bruce Channel deposit in Red Lake, Ontario, and was sold to Goldcorp Inc. for $1.5 billion in 2008. Mr. Leskovec earned his Chartered Professional Accountant (CPA, CA) designation while working in the audit and assurance practice for Smith Nixon LLP and has his Honours Bachelor of Accounting (BAcc) Degree from Brock University.

John McBride

VICE PRESIDENT OF EXPLORATION

Mr. McBride has approximately 15 years of experience in advancing exploration projects, particularly in field-based geology across Canada in the exploration for precious metals, base metals and diamonds. Most recently, John was the Exploration Manager at Generation Mining Ltd., where he led the exploration programs that were essential in advancing the Marathon Palladium-Copper Project, located in Northern Ontario, Canada, towards a definitive feasibility study. Previously, Mr. McBride was a Senior Exploration Geologist at Marathon Gold Corp., where he managed the exploration programs for the Valentine Lake Gold Project, located in Newfoundland, Canada, resulting in the expansion of the known open-pit mineralization of the project’s deposits. John graduated from Lakehead University with a HBSc. in Geology (2007) and a MSc. in Geology (2010) and is a member in good standing with the association of Professional Geoscientists in Ontario, Northwest Territories and Nunavut.

Eric Tremblay

DIRECTOR

Mr. Tremblay, a seasoned mining professional with over 30 years of mine building and mine operations experience, and is currently the Chief Operating Officer with Dalradian Resources Inc. He previously held the role of General Manager at Canadian Malartic, Canada's largest open pit gold mine. He was responsible for building the operations team, establishing operating procedures and standards, expanding stakeholder engagement and subsequently managing an internal team of 700 employees. Mr. Tremblay was also the General Manager at IAMGOLD's Westwood Project, where he participated in closure of the Doyon Mine and construction of the Westwood Project, completing the permitting, scoping study, feasibility study, surface construction and underground development at Westwood. Previous positions include, Underground Superintendent at Cambior's Mouska Mine, Underground Captain/Project and Engineer/Senior Supervisor over a seven-year period at Cambior and Barrick's Doyon Mine, where he was involved in mine-planning, construction, development and production. During his studies and afterwards he worked on various underground mines and projects, including Musselwhite. Mr. Tremblay graduated from Laval University with a B.Sc. in mining engineering and mineral processing.

Dan Noone

DIRECTOR

Mr. Noone has more than 30 years of international mineral exploration and development experience ranging from implementing grassroots programs through to feasibility studies. He is currently the CEO of G2 Goldfields Inc. Previous roles include Executive Director and V.P. of Exploration at Guyana Goldfields, V.P. of Peruvian Operations for Aquiline Resources Inc. and the President and CEO of Absolut Resources Inc. Mr. Noone has managed projects in Guyana, Papua New Guinea, Indonesia, Peru, Ecuador and Argentina. Mr. Noone holds a degree in geology from Ballarat University and an MBA from Melbourne University. He is a Member of the Australian Institute of Geoscientists (AIG) and a Fellow of the SEG.

Brian Howlett

DIRECTOR

Mr. Howlett is a seasoned professional with over 25 years of senior financial management experience. Mr. Howlett is currently the President, Chief Executive Officer with Hemlo Explorers Inc., and President, CEO and a Director with Voyageur Mineral Explorers Corp. He also formerly served as the President and Chief Financial Officer Superior Copper Corporation. Prior to that, Mr. Howlett spent 12 years with ELI Eco Logic Inc., including 6 years as Chief Financial Officer. Mr. Howlett graduated in 1982 with a B. Comm. in finance from Concordia University and received his CMA designation in 1989. Mr. Howlett also serves on the Board for several junior mining companies.

Edie Hofmeister

DIRECTOR

Ms. Hofmeister is an attorney who has advised large and small multi-national extractive companies on legal and ESG matters for over twenty years. Most recently she served as EVP Corporate Affairs and General Counsel for Tahoe Resources Inc. where she led the Legal, Sustainability and Government Affairs Departments, as it evolved from a small junior explorer to a mid-cap precious metals producer. Since 2006, Ms. Hofmeister has worked alongside rural and indigenous communities in India, Peru, Guatemala and Canada to enhance food, work and water security. Ms. Hofmeister serves as the Chair of the International Bar Association’s Business and Human Rights Committee, a group dedicated to promoting high ESG standards in multi-national corporations. Ms. Hofmeister received a Bachelor of Arts degree in international relations from UCLA, a Master of Arts degree in international peace studies from the University of Notre Dame and a Juris Doctor degree from the University of San Francisco.

Sara Heston

DIRECTOR

Ms. Heston has been the Associate Director, Center for Entrepreneurial Studies at the Stanford Graduate School of Business since 2020. Prior to her role at Stanford, she was the Vice President of Investments for ASA Gold and Precious Metals Limited where she managed a global portfolio of publicly listed, precious metals investments from 2010 - 2019. Ms. Heston is currently a director of The Denver Gold Group, Inc., Millennial Precious Metals Corp., Spanish Mountain Gold Ltd. and Dore Copper Mining Corp. She holds a BA in Economics from Vanderbilt University and an MBA from Columbia University.

Salvatore Curcio

CHIEF FINANCIAL OFFICER

Mr. Curcio is a Chartered Professional Accountant with over ten years of financial, audit and assurance expertise with publicly listed companies. Previously, Mr. Curcio was the Manager of Accounting and Finance at Mountain Province Diamonds Inc. (2015 -2021), which jointly own the Gahcho Kue Diamond Mine in the Northwest Territories, Canada, with DeBeers Canada Inc. At Mountain Province, Mr. Curcio oversaw the firm’s financial reporting, planning and analysis, particularly during the transition from development-stage project to a commercially producing mine. Mr. Curcio concurrently served as the Manager of Financial Reporting at Kennady Diamonds Inc. (2015 -2018) until the acquisition by Mountain Province Diamonds in 2018. Mr. Curcio earned his Chartered Professional Accountant, Chartered Accountant (CPA, CA) designation while working in the audit and assurance practice for Schwartz Levitsky Feldman LLP, and has his Honours Bachelor of Accounting and Financial Management (BAFM) Degree and Masters of Accounting (MAcc) Degree from the University of Waterloo.

Allan Candelario

VICE PRESIDENT, INVESTOR RELATIONS & CORPORATE DEVELOPMENT

Mr. Candelario is an accomplished and impactful investor relations, capital markets and finance professional, bringing over 15 years of progressive experience. Most recently, Mr. Candelario was the Vice President, Investor Relations at Battle North Gold Corp., a Canadian gold developer with assets in the Red Lake Gold Camp in Northern Ontario. Allan was an integral member of the executive team that completed Battle North’s successful turnaround and the sale of the company to Evolution Mining Ltd. in 2021, delivering significant value to Battle North’s shareholders. Prior to Battle North, Mr. Candelario managed the top-ranked investor relations program at Alamos Gold Inc. and worked in equity research for Canadian bank-owned and independent broker dealers. Allan holds a Bachelor of Business Administration from the Schulich School of Business (York University) in Canada and is a CFA® charterholder (CFA Institute).

Morris Prychidny

CHAIRMAN OF THE BOARD

Mr. Prychidny is a Chartered Accountant with more than 35 years of experience in the mining, entertainment and real estate industries. He is also the current Chairman of Talisker Resources, a TSX listed mining company, Director and Audit Committee member of Fountain Asset Corp. and Northfield Capital Corporation, both TSX Venture listed companies and a former director, Audit Chairman and member of the Special Committee of Barkerville Gold Mines Ltd. which was acquired by Osisko Gold Royalties Ltd for $338 million in 2019. He is also a director and asset manager of Orion Capital Incorporated, a Toronto-based asset management company.
